Terms of Service
The agreement between your café and OverBiz for the use of EspressOS.

These Terms of Service ("Terms") govern your use of EspressOS, the point-of-sale and café-management software provided by OverBiz ("we", "us", "our"). By creating an account or using EspressOS, you ("you", "your", the café) agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind it.
1. The service
EspressOS is a tablet-first point-of-sale, inventory, dual-receipt printing, loyalty, and reporting suite for independent cafés, together with a web admin for off-site management. We provide it on a subscription basis and may improve, change, or discontinue features over time.
2. Accounts
You must provide accurate account information and keep it current. You are responsible for activity under your account, for keeping sign-in credentials secure, and for the staff PINs and paired tablets you manage within EspressOS.
3. Free trial and subscriptions
New cafés start with a 14-day free trial. After the trial, continued use requires a paid subscription. Plans differ in how many branches and tablets you can pair; current plans and prices are shown on our pricing page. We may change pricing on reasonable notice.
4. Billing and payment
Subscriptions are invoiced and paid manually — by bank transfer, GCash, or cash — as arranged with us. Fees are due by the date stated on the invoice. If payment is overdue, we may suspend access to the web admin and cloud sync after notifying you; your tablets can continue to operate offline during a short grace period.
5. Acceptable use
You agree not to use EspressOS for any unlawful purpose, not to resell or sublicense it, not to reverse-engineer or copy the software, and not to interfere with its operation or security or with other customers' use of it.
6. Your data
The business data you enter into EspressOS — including records about your own customers — remains yours. You grant us a limited licence to host, process, and sync that data solely to provide and support the service. You are responsible for the data you collect about your own customers and for having a lawful basis to do so. Our handling of personal data is described in our Privacy Policy.
7. Availability
EspressOS is offline-first by design: the till keeps taking orders and printing without an internet connection. Cloud sync and the web admin are provided on a best-effort basis and may be unavailable during maintenance or outages. We do not offer a formal uptime guarantee.
8. Intellectual property
EspressOS, its software, and the OverBiz and EspressOS brands are owned by OverBiz. These Terms grant you a non-exclusive, non-transferable right to use EspressOS for your café for the duration of your subscription, and nothing more.
9. Disclaimers
EspressOS is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties of merchantability and fitness for a particular purpose. You are responsible for keeping your own records as your tax and accounting obligations require.
10. Limitation of liability
To the extent permitted by law, OverBiz is not liable for indirect, incidental, or consequential losses, or for lost profits or lost data. Our total liability for any claim relating to EspressOS will not exceed the fees you paid us in the 12 months before the claim arose.
11. Termination
You may stop using EspressOS and cancel at any time. We may suspend or terminate access for non-payment or for a material breach of these Terms, with notice where reasonable. After termination you will have a limited window to export your data, after which it is deleted as described in the Privacy Policy.
12. Changes to these Terms
We may update these Terms as EspressOS evolves. We will revise the "Last updated" date above and, for material changes, notify active customers by email. Continued use after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the Republic of the Philippines. Any dispute will be subject to the jurisdiction of the competent courts of the Philippines.
